Subcontractors and Providers

Acadia Marketing LLC

1. Purpose and Scope

This document explains how Acadia Marketing LLC, a Maine limited liability company ("Acadia Marketing LLC", "we", "us"), uses subcontractors and third-party providers in delivering website design and development, website hosting, domain name management, email setup, search and advertising management, SMS and text-message lead alerts, and client website and domain transfer services. It applies to acadiamarketingmaine.com and to any page, subdomain or transfer page that Acadia Marketing LLC operates or issues to clients (the "Sites").

This document should be read together with our Terms of Use, Privacy Policy, Cookie Notice, Website and Domain Transfer Terms, Access Code and Authentication Policy, Access Logging and Security Notice, Acceptable Use Policy, Electronic Communications and Notices, Intellectual Property and Copyright, Disclaimers and Limitation of Liability, Accessibility Statement, and Governing Law and Dispute Resolution.

2. Types of Providers We Use

We do not operate every part of our services ourselves. To deliver the Sites and our services, we rely on independent companies and individuals, which may include:

  • hosting providers that store and serve website files, application code and related data;
  • domain registrars and domain name system providers that register, renew and route domain names;
  • email providers that supply mailboxes, forwarding and mail delivery;
  • messaging providers and messaging carriers that deliver SMS and text-message lead alerts;
  • analytics and measurement providers that help us understand how the Sites and client websites are used and how campaigns perform;
  • advertising and search platforms through which we manage campaigns on behalf of clients; and
  • independent contractors who assist with design, development, writing, technical support and administration.

The providers we use may change from time to time, and we are not required to identify each provider by name on the Sites.

3. We Remain Responsible

Using a subcontractor or provider does not relieve Acadia Marketing LLC of its obligations under the applicable agreement. Where we engage a subcontractor to perform part of our services, we remain responsible to the client for the services we have agreed to provide, subject to the terms of that agreement, including the limits described in our Disclaimers and Limitation of Liability document.

We select providers with reasonable care and expect them to handle information in a manner consistent with our Privacy Policy and Access Logging and Security Notice. We do not, however, guarantee the conduct, availability or performance of any independent provider whose services we do not control.

4. Provider Terms Apply

Many providers make their services available only under their own terms, policies and technical requirements. Where a provider's terms apply to a service we deliver, those terms may bind us, and in some cases may also apply to you. Examples include registry and registrar rules for domain names, carrier rules for text messaging, content and policy requirements of advertising platforms, and acceptable use rules of hosting and email providers.

You agree to comply with provider terms that are communicated to you or that apply to your use of a service we manage for you. If a provider suspends, restricts or declines to support a service because of a violation of its terms or of our Acceptable Use Policy, we may take corresponding action on our side, and we are not responsible for the resulting interruption.

5. Information Shared with Providers

We share information with providers only to the extent reasonably needed for them to perform the function we have engaged them for, such as hosting a website, registering a domain, delivering an email or text message, or measuring site activity. Providers may also collect certain technical information directly under their own policies. Our Privacy Policy and Cookie Notice describe the information we collect and how it is used, and they apply to information handled through our providers.

We do not authorize providers to use information we share with them for purposes unrelated to the services they perform for us, except as their own terms permit or as the law requires.

6. Messaging Services

Text-message lead alerts and other messages are transmitted through messaging platforms and carriers that we do not own or operate. Delivery depends on carrier networks, device settings and recipient configuration. We cannot guarantee that any message will be delivered, delivered promptly, or delivered in a particular form. Carriers and platforms may filter, delay or block messages under their own rules.

7. Outages and Events Outside Our Control

Our services depend in part on systems operated by others. Acadia Marketing LLC is not responsible for interruption, delay, data loss or degraded performance caused by a provider outage, a failure of internet or telecommunications infrastructure, a security incident at a provider, a change in a platform's rules or technology, an act of a government authority, or any other event outside our reasonable control.

When such an event occurs, we will use reasonable efforts to work with the relevant provider, to address affected services, and to communicate through the channels described in Electronic Communications and Notices. Our obligations are suspended to the extent and for as long as the event prevents performance.

8. Changes of Provider

We may add, replace or discontinue a provider where we consider it appropriate, including for reasons of reliability, security, cost, legal compliance or availability. When we change a provider, we will take reasonable steps to carry over the affected services, and the services will continue to be governed by the applicable agreement. A change of provider does not, by itself, change the scope of the services we have agreed to deliver.

Some changes may require a period of adjustment, such as updating records, re-verifying settings or reissuing credentials. Where an action is needed from you, we will tell you what is required.

9. Transfers and Existing Agreements

When a website or domain is transferred to or from a client, providers involved in the transfer, including registrars and hosts, may impose their own procedures and requirements. Our Website and Domain Transfer Terms and Access Code and Authentication Policy govern the transfer process. Hosting after a transfer continues under the existing agreements unless the parties agree otherwise in writing.

10. Your Own Providers and Accounts

Some services may involve accounts that you hold directly with a provider. You are responsible for your own account credentials, for the accuracy of the information on those accounts, and for your agreements with those providers. Where you give us access to a provider account, we will use that access only for the services we have agreed to perform.
