Intellectual Property

Acadia Marketing LLC

1. Scope

This page explains how intellectual property rights apply to the Sites operated by Acadia Marketing LLC, a Maine limited liability company ("Acadia Marketing LLC", "we", "us"). The Sites are acadiamarketingmaine.com and any page, subdomain or transfer page that we operate or issue to clients. This page applies together with our Terms of Use and with any written agreement between us and a client.

2. Ownership of Our Materials

Unless a written agreement states otherwise, Acadia Marketing LLC and its licensors own all rights, title and interest in the following (together, "Our Materials"):

  • the text, graphics, layout, design, software, code and other content of the Sites that we create;
  • our proposals, reports, templates, checklists, methods, processes and internal documentation;
  • our tools, scripts, libraries, frameworks and components, including those we use to build or manage client websites, whether or not they are included in a delivery;
  • our names, logos and other brand elements.

Our Materials are protected by copyright, trademark and other laws of the United States and of other jurisdictions. Nothing on the Sites transfers any ownership interest in Our Materials to any visitor or recipient.

3. Limited License to Use the Sites

We grant each visitor a limited, revocable, non-exclusive, non-transferable license to view the Sites and to print or save a copy of pages for personal or internal business reference. This license does not permit you to:

  • copy, reproduce, modify, publish, sell or create derivative works from Our Materials except as this page allows;
  • use automated means to copy or collect content from the Sites at scale;
  • remove or alter any copyright, trademark or other proprietary notice;
  • frame or mirror any part of the Sites, or present Our Materials as your own;
  • attempt to defeat any access code, security control or logging feature.

We may suspend or end this license at any time if these terms are not followed.

4. Trademarks

"Acadia Marketing" and "Acadia Marketing LLC," together with our logos and related brand elements, are trademarks or service marks of Acadia Marketing LLC, whether or not registered. Other product and company names that appear on the Sites belong to their respective owners and are used for identification only. You may not use our marks, or any confusingly similar mark, in a domain name, business name, advertisement or other manner that suggests affiliation, sponsorship or endorsement, without our prior written permission.

5. Client Ownership of Delivered Work

Where a client has paid in full for website content and source files created for that client, the following applies unless the client's written agreement says otherwise:

  • the client owns the website content created for it and the final delivered source files for its website;
  • the client owns the domain name registered in its name, and, upon completion of a domain transfer, the domain and its renewals belong to the new registrant;
  • materials supplied by the client, including its text, photographs, logos and trademarks, remain the property of the client or the client's licensors.

Ownership transfers under this section when the applicable delivery or transfer is complete and amounts due have been paid. Until then, Acadia Marketing LLC retains its rights. Hosting of client websites continues under the existing agreements until the cutover is complete.

6. Pre-Existing and Third-Party Materials

Delivered work may include Our Materials that existed before the engagement or that we use across many projects, such as code libraries, frameworks and templates. We retain ownership of these items. We grant the client a non-exclusive, perpetual, worldwide license to use them as part of the delivered website, solely for the operation of that website.

Delivered work may also include third-party materials, such as open-source software, fonts, stock images or plugins. These are provided under their own license terms, which continue to apply. The client is responsible for complying with those terms after delivery.

7. Client License to Us

A client grants Acadia Marketing LLC a limited, non-exclusive license to use, copy, host, store, modify and display the client's materials as needed to provide the services. The client confirms that it has the rights needed to give us those materials and that their use as directed will not infringe the rights of others.

8. Transfer Pages and Their Contents

A transfer page is issued to a named designated recipient and is protected by an access code. It may contain domain transfer (EPP) codes and website source files. Those contents are provided solely for the designated recipient and the parties the recipient authorizes. The access code, transfer codes and files must not be shared, posted or redistributed. Visits and downloads are logged with date, time, IP address and browser for security. Delivery of source files through a transfer page is subject to Section 5.

9. Feedback

If you send us suggestions, comments or ideas about the Sites or our services, we may use them without restriction and without obligation to you, provided we do not publish your confidential business information.

We respect the rights of copyright owners and respond to notices of claimed infringement. If you believe that material on a Site infringes a copyright you own or control, send a written notice to the contact listed in Section 11. The notice should include:

  • your physical or electronic signature;
  • identification of the copyrighted work you claim has been infringed;
  • identification of the material you claim is infringing, with enough detail, such as a web address, for us to locate it;
  • your name, mailing address, telephone number and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law;
  • a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner.

After receiving a complete notice, we may remove or disable access to the material and may notify the person who supplied it. A person who believes material was removed by mistake may send us a written counter-notice with the same contact details, identifying the material, stating under penalty of perjury that it was removed through mistake or misidentification, consenting to the jurisdiction described in Section 12, and including a signature. Knowingly misrepresenting that material is infringing may carry legal liability. We may end the access of repeat infringers.
