Billing, Payment and Refund Policy
Acadia Marketing LLC
1. Purpose and Scope
This Billing, Payment and Refund Policy explains how Acadia Marketing LLC, a Maine limited liability company ("Acadia Marketing LLC", "we", "us"), invoices for and collects payment for its services. Those services include website design and development, website hosting, domain name management, email setup, search and advertising management, SMS and text-message lead alerts, and client website and domain transfer services. This policy applies to acadiamarketingmaine.com and any page, subdomain or transfer page that we operate or issue to clients (the "Sites").
This policy supplements, and does not replace, the written agreement between you and us for the services you receive (the "applicable agreement"). If this policy and the applicable agreement conflict, the applicable agreement controls. This policy should be read together with our Terms of Use, Website and Domain Transfer Terms, Electronic Communications and Notices, and Disclaimers and Limitation of Liability.
2. Invoicing
We invoice for services according to the schedule stated in the applicable agreement. Invoices are delivered electronically to the billing contact you provide and may describe one-time charges, recurring charges, or both. You are responsible for keeping your billing contact information current. An invoice that is delivered to the contact on file is treated as received, even if you did not open it.
Please review each invoice promptly. If you believe an invoice contains an error, you must notify us as described in Section 6.
3. Accepted Payment Methods
We accept the payment methods identified in the applicable agreement or on the invoice, which may include electronic bank transfer, payment card, or check. Card and bank payments are processed by independent payment processors, and your use of a processor is subject to that processor's own terms. Payment card details are handled by the processor and are not intended to be retained on our systems. Payment methods may be added, changed or withdrawn from time to time, and we will tell you about any change that affects an open invoice.
You authorize us to charge the payment method you designate for amounts that become due under the applicable agreement, including recurring charges. You represent that you are entitled to use the payment method you provide.
4. Late Payment
Amounts are due on the schedule stated in the applicable agreement or on the invoice. If an amount is not paid when due, we may, to the extent the applicable agreement permits and after notice to you:
- charge any late fee or interest that the applicable agreement provides for;
- suspend or limit services, including hosting, email, lead alerts and advertising management, until the account is brought current;
- decline to begin, continue or complete further work;
- withhold delivery of work product, access codes, transfer codes, or a requested transfer of a website or domain name until all amounts due have been paid; and
- refer the account for collection, in which case you are responsible for reasonable collection costs to the extent allowed by law.
Suspension for non-payment does not relieve you of your obligation to pay amounts that have accrued. Where a transfer has been completed and hosting continues under the existing agreements, charges under those agreements remain payable according to their terms.
5. Taxes
Stated charges do not include sales, use, value added or similar taxes unless the invoice says otherwise. You are responsible for any such taxes that apply to your purchase, other than taxes based on our net income. Where we are required to collect a tax, it will appear on your invoice as a separate item.
6. Billing Disputes
If you dispute any part of an invoice, you must send written notice to info@acadiamarketingmaine.com within the period stated in the applicable agreement, describing the charge in question and the reason for your dispute. You must pay any undisputed portion of the invoice when due. We will review the dispute in good faith and tell you the result. Initiating a payment card chargeback without first contacting us may delay resolution and may result in suspension of services. Disputes that are not resolved through this process are governed by our Governing Law and Dispute Resolution document.
7. Refunds
Refunds are available only to the extent the applicable agreement expressly provides for them. Unless the applicable agreement states otherwise, fees for work already performed, services already delivered, and periods already elapsed are not refundable. This includes design and development work, setup of email and messaging features, advertising management performed, and domain transfer services carried out. We make no promise that any service will produce a particular result, and the absence of a particular result is not by itself a basis for a refund.
Where a refund is approved, we will issue it to the original payment method where practicable. Refunds do not include amounts paid to third parties as described in Section 8, except as the applicable agreement or the third party permits.
8. Third-Party Pass-Through Costs
Some services depend on independent providers, such as the hosting provider, the registrar, the messaging carrier, and advertising platforms. Charges imposed by these providers, including domain registration and renewal fees, messaging usage charges, and advertising spend, may be passed through to you at cost or as the applicable agreement provides. These providers set their own prices and terms, may change them without notice to us, and generally do not refund amounts already charged. Advertising spend is paid to the advertising platform and is separate from our management fees. We are not responsible for amounts a third party retains.
9. Changes to Charges and to This Policy
Changes to the charges for a service take effect as provided in the applicable agreement. We may update this policy by posting the revised version on the Sites. Continued use of the services after posting constitutes acceptance of the revised policy, to the extent permitted by law and the applicable agreement.
10. Governing Law and Contact
This policy is governed by the laws of the State of Maine, and venue for any action lies in Cumberland County, Maine, as further described in our Governing Law and Dispute Resolution document.
