Search and Advertising Management Terms
Acadia Marketing LLC
1. Purpose and Scope
These Search and Advertising Management Terms describe how Acadia Marketing LLC, a Maine limited liability company ("Acadia Marketing LLC", "we", "us"), manages search and advertising activity for clients. They apply whenever we plan, build, operate, monitor or adjust advertising campaigns, listings or related tracking on a client's behalf, and they supplement the applicable agreement between us and the client.
2. Managing Accounts on Client Platforms
We manage advertising on accounts that are held on third-party advertising and search platforms. Unless the applicable agreement states otherwise, the account is opened in the client's name, or the client grants us delegated access to an account the client already holds. Our work may include:
- campaign planning, structure and setup;
- keyword, audience, location and scheduling selection;
- writing and revising advertisement text;
- conversion tracking, call tracking and form tracking configuration;
- bid, budget allocation and targeting adjustments within limits the client has approved.
The client authorizes us to take these actions on its behalf and to communicate with the platform about the account as the client's agent for that purpose.
3. Account Ownership
The advertising accounts, the data inside them, the client's business listings and the client's brand material belong to the client. Nothing in these terms transfers ownership of any client account to us. We hold only the access the client grants, and only for as long as the applicable agreement continues. Work product created for a client campaign is governed by our Intellectual Property and Copyright document.
4. Advertising Budgets and Platform Charges
The client is responsible for all amounts charged by an advertising platform for advertising, including media spend, click charges, call charges and any related platform fees. These charges are paid by the client directly to the platform through a payment method the client keeps current on the account. Our management fees, if any, are separate from platform charges and are governed by the applicable agreement.
The client sets the budget, and we will work within the budget the client has approved. Platforms may deliver spending unevenly in the ordinary course. A client who wishes to change a budget should tell us in writing, and we will implement the change within a reasonable time. If a payment method fails, the platform may stop serving advertisements, and we are not responsible for lost exposure that results.
5. No Guarantee of Results
Search and advertising performance depends on many factors outside our control, including competition, platform auction behavior, seasonality, consumer demand, the quality of the client's website and offer, and the client's responsiveness to inquiries. We do not promise or guarantee any particular ranking, placement, impression volume, click volume, lead volume, sales result or return on spend. Our liability is limited as stated in our Disclaimers and Limitation of Liability document.
6. Platform Policies Apply
Every advertising platform sets its own terms, advertising policies, content rules, verification requirements and technical standards. The client and we are each bound by those requirements, and they may change without notice to us. A platform may disapprove an advertisement, limit a campaign, suspend an account or request additional verification at its sole discretion. We will make reasonable efforts to follow platform requirements and to help the client respond to platform notices, but we do not control platform decisions and are not responsible for them. The client is responsible for the accuracy and legality of its business claims, licenses, offers and the content of its website.
7. Client Responsibilities
The client agrees to provide accurate business information, keep billing details current on each account, maintain the access we reasonably need, and respond lawfully to calls, messages and form submissions that campaigns generate, consistent with our Electronic Communications and Notices document.
8. Reporting
We provide reports on campaign activity on the schedule described in the applicable agreement. Reports draw on data supplied by the advertising platforms, analytics tools and call or form tracking services. That data may be delayed, incomplete, filtered or revised by its source, and we do not warrant its accuracy. Reports are informational and are not a statement of guaranteed performance.
9. Access Revocation at End of Engagement
When the engagement ends for any reason, we will stop managing the client's accounts and the client may revoke our access at any time. We may also remove our own access and delete or disable any credentials, tracking connections or shared settings we established for the engagement. The client remains responsible for charges incurred before access ends, including charges for campaigns that remain active until the client or the platform stops them. Because the accounts belong to the client, we do not retain control of them after access ends. Requests for an orderly handover of account information should be sent to us in writing. Any hosting or domain services provided separately continue under the existing agreements unless those agreements say otherwise.
Access credentials we hold are handled under our Access Code and Authentication Policy and our Access Logging and Security Notice.
10. Changes and Contact
We may update these terms from time to time by posting the revised version on the Sites. Continued use of our advertising management services after a revision means the client accepts it. These terms are governed by the laws of the State of Maine, with venue in Cumberland County, Maine, as further described in our Governing Law and Dispute Resolution document.
Questions and notices relating to these terms may be sent to info@acadiamarketingmaine.com, by telephone to (207) 716-9079, or by mail to Acadia Marketing LLC, 218 Pond Road, Wilton, ME 04294.
